Article 1 - Orders and Customer Account

1.1 - Customer Account

To place an order, the Customer is invited to create an account or order as a guest. The Customer may modify their data at any time by logging into their account and is responsible for keeping the information up to date. To access their personal space and order history, the Customer must identify themselves using their username and password provided after registration, which are strictly personal. Accordingly, the Customer must not disclose them to any third party. Otherwise, they remain solely responsible for any use made of them. The Customer may request account deletion at any time by visiting the dedicated page or by sending an email to customercare.cnes@synneo.fr. The deletion will be processed within a reasonable time. In case of non-compliance with the general terms and/or conditions of use, SYNNEO reserves the right to suspend or close a customer account after a written notice sent electronically remains unanswered. Any deletion of an account, whatever the reason, results in the complete and permanent deletion of all personal information of the Customer. Any event resulting from force majeure that causes a malfunction of the website or server, as well as any interruption or modification due to maintenance, shall not engage the Seller’s liability.

1.2 - Payment Methods

No payment data is collected by the website. The payment is processed directly by the bank or payment service provider receiving the Customer’s payment. Purchase orders and invoices will be archived on a reliable and durable medium constituting a true copy. Computerized records will be considered by the parties as proof of communications, orders, payments, and transactions between them.

Article 2 - Order Validation

The Customer declares that they have read and accepted these General Terms and Conditions of Sale before placing their order. Validation of the order therefore constitutes acceptance of these Terms and Conditions.

Article 3 - Availability

The availability of Products is indicated on the Website, in each Product’s description. In the event of unavailability after placing an order, the Customer will be informed, the order will be automatically cancelled, and no charge will be made.

Article 4 - Delivery

5.1 - General

Products are delivered to the delivery address indicated by the Customer during the order process, unless otherwise specified on the order validation page. The website offers delivery only to the countries listed on the site; orders can be shipped worldwide if the country is referenced. In the case of delivery outside the European Union or to French overseas territories (DROM-COM), the Customer acts as the importer of the Product and acknowledges that, in such cases, the Seller may be materially unable to provide accurate information regarding the total amount of customs duties or import taxes applicable in the country of delivery. Unless otherwise stated on the Website during the order process or in the Product description, the Seller undertakes to deliver Products within a maximum of thirty (30) days after the conclusion of the contract with a Consumer Customer, provided that the Products ordered are available.

5.2 - Delivery Times

The delivery time corresponds to the dispatch and preparation time indicated in the "Delivery" step of the checkout process, depending on the Customer’s choice. Shipments are scheduled for the next business day (D+1). For deliveries requiring an appointment, the carrier will contact the Customer as soon as possible to arrange it, no later than 30 days after order validation. SYNNEO cannot be held responsible for delivery delays due solely to the Customer’s unavailability after several proposed appointments.

Article 5 - Delivery Errors and Delays

In the event of an error in delivery or exchange, any product to be exchanged or refunded must be returned to the Seller in its entirety and in perfect condition. Any defect resulting from mishandling or improper use by the Customer cannot be attributed to the Seller. In case of shipment delay, an email will be sent to inform the Customer of the potential impact on the delivery time. In case of delivery delay, a new delivery time will be proposed. Any delay exceeding thirty (30) days from the contract conclusion date may lead to cancellation by the Consumer Customer under Articles L216-2, L216-3, and L241-1 of the French Consumer Code. The request must be made in writing and sent by registered letter with acknowledgment of receipt if, after notice to deliver, the Seller fails to act. A credit note will be issued within thirty (30) days following cancellation, covering all amounts paid for the concerned goods. This clause does not apply if the delay results from force majeure.

Article 6 - Receipt

In case of reservations regarding the delivered product (for example: damaged or previously opened parcel), the Customer must immediately notify the carrier and SYNNEO. The Customer may refuse a parcel upon delivery if they notice an anomaly (damage, missing item, broken product, etc.); such anomalies must be clearly stated on the carrier’s delivery slip, with handwritten notes signed by the Customer. To exercise this right of refusal, the Customer must open the damaged or defective parcel(s) in the presence of the carrier and have the damaged goods returned. Failure to comply with these instructions will void the Customer’s right of refusal, and the Seller will not be obligated to honor the request.

Article 7 - Transfer of Ownership and Risk

The Seller’s acceptance of the purchase order automatically transfers ownership of the ordered Products. The acceptance also automatically transfers the risk associated with the Products to the Customer.

Article 8 - Warranties

9.1 - Product Conformity

In accordance with the legal guarantees of conformity and hidden defects (as described below and detailed in Annex 1 of these terms), SYNNEO will exchange products that are apparently defective or do not correspond to the Customer’s order. The Customer must contact the Seller within seven (7) days. Products must be returned in the same condition as received, with all accessories and manuals, in packaging suitable for safe transport. Shipping costs will be refunded based on the invoiced rate, and return costs will be reimbursed upon presentation of receipts.

Article 9 - Liability

The Seller’s liability can only be engaged in cases of gross, intentional, or fraudulent misconduct. In all other cases, the Seller cannot be held responsible. The products offered comply with current French legislation. SYNNEO shall not be liable for non-compliance with the legislation of the country where the product is delivered. It is the Customer’s responsibility to check with local authorities regarding the import or use of the ordered products or services.

Article 10 - Intellectual Property

All texts, comments, illustrations, and images reproduced or represented on the SYNNEO website are strictly protected under copyright and intellectual property law worldwide. In accordance with the French Intellectual Property Code, only private use is authorized, subject to more restrictive provisions of the Code. Any total or partial reproduction or representation of the Site or its content is strictly prohibited. Company names, trademarks, and distinctive signs reproduced on the Site are protected by trademark law. Any reproduction or representation, in whole or in part, of these signs is strictly prohibited without prior written authorization from the trademark owner.

Article 13 - Applicable Law – Disputes – Complaints Handling

Applicable Law: This contract is subject to French law. The language of this contract is French. In case of dispute, only French courts will have jurisdiction. This English translation of the Terms and Conditions of Sale has no contractual value and is provided for informational purposes only.

Complaints Handling: For any complaint, you may contact customer service using the contact details mentioned at the beginning of these terms or via the website’s contact page.

Jurisdiction: In the event of a dispute arising from an order or delivery of items sold on the Site, the Customer shall first contact SYNNEO to seek an amicable solution. Any dispute relating to the formation, interpretation, or performance of this contract shall fall under the exclusive jurisdiction of the courts within the jurisdiction of NICE, notwithstanding multiple defendants or third-party claims.
